Although a low price is not alone sufficient to establish a violation, it suggests that you should scrutinize carefully all aspects of a disposition to ensure that each aspect was commercially reasonable. [Com C §9610, Assembly Committee Comment 10.] Even if the disposition is commercially reasonable, you must use a special objective method for calculating a deficiency if the transferee is the secured party, a person related to the secured party, or a secondary obligor, and the amount of proceeds is significantly below the range that a complying disposition to someone else would have brought.
